Acceptance of Terms

Welcome to True Fan Pass. These Terms of Service ("Terms") govern your access to and use of the True Fan Pass website, applications, digital membership services, digital fan passes, organization services, account features, verification services, and other services made available through the platform (collectively, the "Platform").

By creating an account, accessing the Platform, obtaining or using a Digital Fan Pass, joining an organization or membership program, making or receiving an eligible transaction, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not create an account or use the Platform.

Eligibility

You must provide accurate and complete information when creating and maintaining your account.

You may only use the Platform if you are legally permitted to enter into a binding agreement under the laws applicable to you.

If a particular feature, membership, organization, event, promotion, or service has additional age or eligibility requirements, you must satisfy those requirements before using that feature or service.

You are responsible for ensuring that your use of the Platform complies with all laws and regulations applicable to you.

Account Registration

Certain features require you to create an account.

You agree to:

• Provide accurate, current, and complete information.
• Maintain the accuracy of your account information.
• Keep your login credentials confidential.
• Use your account only for lawful purposes.
• Notify us promptly if you believe your account has been accessed without authorization.
• Not impersonate another person, organization, or entity.
• Not create an account using false or misleading information.
• Not create accounts for the purpose of abusing, circumventing, or manipulating Platform features.

You are responsible for activity conducted through your account unless the activity resulted from circumstances outside your reasonable control and was reported to us promptly.

Digital Fan Passes and Memberships

True Fan Pass may provide digital membership passes, fan identification credentials, membership benefits, verification features, access credentials, or other digital services.

A Digital Fan Pass may represent a membership, affiliation, eligibility status, access right, or other relationship established through the Platform.

The specific benefits, privileges, restrictions, expiration dates, transferability, and eligibility requirements associated with a Digital Fan Pass may vary depending on the issuing organization or membership program.

A Digital Fan Pass does not automatically grant access to an event, venue, service, organization, or benefit unless the applicable organization or program expressly provides that access.

Membership Verification

Digital passes may contain information or credentials that allow authorized parties to verify membership or eligibility.

Verification does not necessarily disclose all information associated with your account. True Fan Pass may use verification mechanisms designed to provide only information reasonably necessary for the relevant verification purpose.

Users must not attempt to bypass, manipulate, forge, duplicate, reverse engineer, or otherwise interfere with Platform verification systems.

Organization Accounts

Organizations may use True Fan Pass to create, manage, verify, or administer membership programs, digital passes, benefits, events, communities, or other organization-related services.

Organizations are responsible for:

• Providing accurate information about their programs and memberships.
• Managing their organization accounts appropriately.
• Ensuring that their use of the Platform complies with applicable laws.
• Providing members with accurate information about membership benefits and requirements.
• Respecting the rights and privacy of their members.
• Maintaining appropriate authorization for organization administrators.

An organization's use of True Fan Pass does not make True Fan Pass responsible for the organization's independent representations, policies, products, services, events, or activities.

Payments and Transactions

Certain features may involve payments, purchases, subscriptions, membership fees, donations, digital services, or other transactions.

Where payments are supported, transactions may be processed through third-party payment processors or financial service providers.

True Fan Pass does not store complete payment card numbers when payment processing is handled by an authorized third-party payment provider, unless expressly stated otherwise.

You authorize applicable payment providers to process transactions according to the information and instructions you provide.

You are responsible for ensuring that payment information submitted through the Platform is accurate and that you have authorization to use the applicable payment method.

Digital Assets and Cryptocurrency

Where True Fan Pass supports digital-asset or cryptocurrency-related functionality, such functionality may be subject to additional terms, limitations, verification requirements, transaction limits, network conditions, and applicable laws.

Digital-asset transactions may be irreversible once submitted to or confirmed by the relevant network or service provider.

You are responsible for confirming recipient information, wallet addresses, transaction amounts, and other transaction details before initiating a transaction.

True Fan Pass will not be responsible for losses resulting from incorrect transaction information supplied by a user, except where applicable law requires otherwise.

True Fan Pass does not guarantee the availability, value, price, liquidity, or future performance of any digital asset.

Nothing on the Platform constitutes investment, financial, tax, or legal advice.

Subscriptions and Recurring Payments

Where subscriptions are offered, the applicable subscription price, billing interval, renewal terms, and cancellation conditions will be presented before or during the subscription process.

Unless otherwise stated, subscriptions may automatically renew according to the applicable billing interval until cancelled.

You are responsible for cancelling a subscription before the next applicable billing date if you do not wish to renew.

Refund eligibility may depend on the applicable service, subscription terms, transaction status, and applicable law.

User Content

Users may be permitted to upload or submit information, photographs, profile images, documents, comments, descriptions, or other materials to the Platform ("User Content").

You retain ownership of User Content that you lawfully own.

By submitting User Content to True Fan Pass, you grant True Fan Pass a limited, non-exclusive, worldwide license to host, store, reproduce, process, display, and transmit that content solely as reasonably necessary to operate, provide, secure, and improve the Platform and the services you request.

You represent that you have the necessary rights and permissions to submit the User Content.

You must not upload content that:

• Infringes another person's intellectual property rights.
• Violates another person's privacy or publicity rights.
• Contains malicious software or harmful code.
• Is fraudulent, deceptive, or materially misleading.
• Violates applicable law.
• Attempts to impersonate another person or organization.
• Facilitates abuse, fraud, harassment, or other unlawful activity.
• Interferes with the operation or security of the Platform.

Prohibited Activities

You may not use the Platform to:

• Commit fraud or facilitate fraudulent activity.
• Attempt to gain unauthorized access to accounts, systems, databases, or infrastructure.
• Circumvent authentication, security, verification, rate limits, or access controls.
• Reverse engineer or attempt to extract source code from the Platform except where expressly permitted by applicable law.
• Introduce malware, viruses, ransomware, spyware, or other malicious code.
• Scrape or systematically collect information from the Platform without authorization.
• Use another person's account without permission.
• Create fake memberships or fraudulent Digital Fan Passes.
• Manipulate verification systems.
• Conduct unauthorized transactions.
• Interfere with another user's access to the Platform.
• Use the Platform for unlawful purposes.
• Attempt to exploit vulnerabilities or security weaknesses in the Platform.

Intellectual Property

The Platform and its original content, software, interfaces, designs, graphics, trademarks, logos, text, functionality, and other materials are owned by or licensed to True Fan Pass and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, license, publish, or create derivative works from Platform materials without prior written authorization.

The True Fan Pass name, logo, branding, and associated marks may not be used in a manner that suggests unauthorized sponsorship, endorsement, affiliation, or partnership.

Third-Party Services

The Platform may integrate with or provide links to third-party services, websites, payment providers, identity verification services, storage providers, communication services, analytics providers, or other external services.

Third-party services may have their own terms and privacy policies.

True Fan Pass is not responsible for the independent operation, availability, security, content, policies, or practices of third-party services.

Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, protect, and process personal information.

By using the Platform, you acknowledge that you have had an opportunity to review the Privacy Policy.

Security

We implement reasonable technical and organizational safeguards designed to protect the Platform and information processed through it.

However, no internet-based service, electronic transmission, or storage system can be guaranteed to be completely secure.

You are responsible for maintaining the security of your account credentials and devices used to access the Platform.

You must promptly report suspected unauthorized access, account compromise, or security incidents involving your account.

Suspension and Termination

True Fan Pass may suspend, restrict, or terminate an account or access to particular Platform features where reasonably necessary to:

• Protect the Platform or other users.
• Prevent fraud or abuse.
• Investigate suspected violations of these Terms.
• Comply with legal or regulatory obligations.
• Respond to security threats.
• Address unauthorized or suspicious activity.
• Enforce applicable Platform rules.

Where appropriate and permitted by law, we may provide notice before taking action.

You may stop using the Platform at any time.

Termination or suspension does not necessarily eliminate obligations that arose before termination, including payment obligations, dispute-related obligations, or provisions that are intended to survive termination.

Account Closure

You may request closure of your account subject to applicable legal, security, transaction, verification, and record-retention requirements.

Certain information may need to be retained for legitimate business purposes, fraud prevention, legal compliance, dispute resolution, financial records, or other lawful purposes.

Account closure may also affect access to Digital Fan Passes, memberships, transaction history, or other Platform features.

Disclaimers

The Platform is provided on an "as available" and, to the extent permitted by applicable law, "as is" basis.

We do not guarantee that:

• The Platform will always be available.
• The Platform will operate without interruption or errors.
• Every feature will remain available indefinitely.
• Information displayed through the Platform will always be completely accurate or current.
• Third-party services will remain available.
• The Platform will be free from every possible security threat.

We may modify, suspend, discontinue, or replace Platform features from time to time.

Limitation of Liability

To the maximum extent permitted by applicable law, True Fan Pass and its officers, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Platform.

This may include losses arising from interruption of service, loss of data, unauthorized access, loss of profits, or reliance on Platform information, except where such limitation is prohibited by applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless True Fan Pass and its officers, employees, contractors, service providers, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your violation of these Terms.
• Your unlawful use of the Platform.
• Your User Content.
• Your violation of another person's rights.
• Your unauthorized use of another person's account.
• Your fraudulent or abusive activity.

Changes to These Terms

We may update these Terms from time to time to reflect changes to the Platform, our services, legal requirements, security practices, or business operations.

When material changes are made, we may provide notice through the Platform, by email, or through other appropriate means where required.

The updated Terms will become effective on the date stated in the updated version unless otherwise required by applicable law.

Your continued use of the Platform after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

Electronic Communications

By using the Platform, you agree that we may communicate with you electronically regarding your account, transactions, security alerts, service updates, verification requests, and other matters relating to the services.

Electronic communications may include email, in-platform notifications, SMS, or other supported communication methods.

Where applicable law requires a particular form of notice or consent, we will follow the applicable requirements.

Notices and Service Messages

Certain communications are necessary for operating your account and providing the services.

These may include:

• Account verification messages.
• Password reset messages.
• Security alerts.
• Transaction confirmations.
• Membership or Digital Fan Pass notifications.
• Important service announcements.
• Changes affecting your account or services.

These operational communications may continue even if you have opted out of non-essential promotional communications.

Dispute Resolution

If you have a concern or dispute relating to the Platform, we encourage you to contact True Fan Pass first so that we can attempt to resolve the matter informally.

Where a dispute cannot be resolved informally, it will be handled in accordance with applicable law and any dispute-resolution requirements applicable to the relationship between you and True Fan Pass.

Governing Law

These Terms will be governed by and interpreted in accordance with the laws applicable to True Fan Pass, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any applicable courts or dispute-resolution bodies will have jurisdiction to the extent permitted by law.

Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.

Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly presented for specific Platform services, constitute the agreement governing your use of the Platform with respect to those services.

If additional terms apply to a particular service, those terms will be presented to you where appropriate.
